Terms of Service
These Terms of Service ("Terms") govern your access to and use of services provided by Studio Fig, a design and development studio located at 47B Nehru Road, 3rd Floor, Koramangala, Bengaluru, 560034, India. The following sections outline how we engage, what you can expect from deliverables, payment and invoicing, intellectual property rights, warranties and liability limitations, and how disputes are resolved. These Terms apply to all engagements unless superseded by a signed agreement which explicitly modifies them. Where a signed agreement exists, it takes precedence for that engagement only.
Scope of work and proposals
Studio Fig prepares written proposals or statements of work ("SOW") that describe the scope, deliverables, timeline, and fees for each engagement. The SOW forms part of the agreement between the client and Studio Fig when accepted in writing by both parties. Unless explicitly stated, schedules and delivery dates are estimates and subject to change based on timely client feedback, scope changes, or external dependencies. Any changes requested after acceptance of an SOW will be handled as change requests and may affect price and timeline. Clients are responsible for providing content, access to systems, and timely approvals as required to meet agreed milestones. If client-supplied assets are not provided within reasonable timeframes, Studio Fig may pause work and the schedule will be adjusted accordingly. All deliverables will be documented in the SOW and handoff notes; any additional items requested outside the SOW will require a separate agreement or amendment.
Fees, invoicing, and payment
Fees are specified in each SOW. For project work, Studio Fig typically requires an upfront deposit (commonly 30–50% of the total fee) with the balance invoiced at agreed milestones or upon delivery. For retained engagements, invoicing will follow the schedule set in the SOW. All fees are quoted in Indian Rupees (INR) unless otherwise stated. Invoices are due within the payment terms specified (commonly 14 or 30 days). Late payments may attract interest at a reasonable rate to cover administrative costs and may result in suspension of services until cleared. Additional costs such as third-party tools, stock assets, or contractor fees will be billed as agreed in the SOW. Taxes applicable under Indian law will be added to invoices where required. If a client disputes any portion of an invoice, the client must notify Studio Fig in writing within the invoice period; undisputed amounts remain payable in accordance with the invoice terms.
Intellectual property
Subject to full payment of fees, Studio Fig assigns to the client ownership of final deliverables specifically created for the client under the SOW (for example: final visual assets, exported production code, and documentation). Studio Fig retains ownership of pre-existing materials, libraries, design system code, templates, tools, and shared components ("Studio Fig Materials") used or adapted in the project. Where Studio Fig Materials are included in the deliverables, Studio Fig grants the client a perpetual, non-exclusive, royalty-free license to use those components as part of the delivered product. Clients are responsible for third-party assets (images, fonts, integrations) and must comply with third-party licenses; Studio Fig will indicate if such assets require additional licenses. If the client requires full assignment of Studio Fig Materials, this must be negotiated and documented in the SOW, and additional fees may apply.
Warranties and liability
Studio Fig endeavours to provide services with reasonable skill and care. Except as required by law, Studio Fig provides services and deliverables "as is" and does not warrant uninterrupted or error-free operation of client systems. To the extent permitted by law, Studio Fig excludes all implied warranties, and its total aggregate liability for any claim arising out of or relating to the SOW will be limited to the total fees paid by the client for the relevant SOW. In no event will Studio Fig be liable for consequential, incidental, special, or punitive damages including lost profits, loss of business, or reputation damages. The client agrees to indemnify Studio Fig for claims arising from client-supplied content, use of deliverables outside of intended scope, or third-party integrations selected by the client. Nothing in these Terms affects your statutory rights that cannot be excluded or limited under applicable law.
Termination
Either party may terminate an SOW where the other party materially breaches its obligations and fails to remedy the breach within a reasonable time after written notice. On termination, the client will pay for work completed up to the termination date and for any irrevocable commitments made by Studio Fig. Studio Fig will deliver completed work and any in-progress materials on receipt of outstanding fees. Provisions that by their nature survive termination (for example, intellectual property, confidentiality, and liability limits) will continue to apply.
Governing law and dispute resolution
These Terms are governed by the laws of India. Any disputes arising out of or in connection with these Terms or any SOW will, to the extent possible, be resolved by negotiation between the parties. If negotiations do not resolve the dispute within thirty (30) days, the dispute may be referred to mediation. If mediation fails, the parties agree to submit to the exclusive jurisdiction of the courts of Bengaluru, Karnataka. Nothing in this clause prevents either party seeking urgent injunctive relief in any competent court where necessary to protect rights or property.
General provisions
These Terms constitute the entire agreement between the parties regarding the subject matter and supersede prior oral or written communications, unless a signed agreement overrides. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in effect. Studio Fig may update these Terms from time to time; material changes affecting existing engagements will be communicated in writing. Continued use of services after updates indicates acceptance of the amended Terms.
